1. Introduction and Acceptance of Terms
Welcome to BOSS Marketing Services.
These Terms of Service (“Terms”) explain the conditions governing the use of our website and the provision of our professional digital marketing, website development, and related services.
Throughout these Terms, “BOSS,” “we,” “our,” and “us” refer to BOSS Marketing Services. “Client,” “customer,” “you,” and “your” refer to individuals or businesses purchasing or requesting our services.
By using our website, you agree to its applicable website-use conditions. Clients also agree to the service-related provisions when those provisions are incorporated into a quotation, agreement, or other service arrangement they accept.
Specific written agreements, proposals, or signed contracts may establish additional requirements. Where a properly executed client agreement expressly conflicts with these Terms, the specific agreement takes precedence.
These Terms apply prospectively and do not automatically replace ownership rights or other commitments established under earlier agreements.
2. Our Services
BOSS Marketing Services provides digital marketing and online business development solutions, including:
- Custom website design and development.
- Website hosting and ongoing maintenance.
- Search engine optimization (SEO).
- Google AI search visibility optimization.
- Social media marketing and management.
- Google Ads and other pay-per-click advertising.
- Google Business Profile and business listing management.
- Website updates, optimization, and technical support.
- Related digital marketing and creative services.
The services included in a particular project are determined by the accepted proposal, quotation, invoice, or written service agreement.
BOSS may expand, modify, or discontinue service offerings from time to time, without removing existing contractual obligations.
3. Project Agreements and Service Scope
Before beginning a project, BOSS and the client may establish the required services, fees, timelines, deliverables, and other project conditions.
Any service outside the agreed project scope may require additional fees and written authorization.
Project timelines depend on factors such as project complexity, availability of materials, timely client feedback, third-party approvals, and technical requirements.
We will make reasonable efforts to meet agreed deadlines. Any material changes to project scope, cost, or scheduling will be communicated to the client.
4. Fees, Payments, and Billing
Clients agree to pay the fees established in their accepted quotation, invoice, subscription arrangement, or service agreement.
Unless otherwise agreed in writing:
- Payments are due according to the applicable invoice or billing terms.
- Recurring services are billed according to the accepted service arrangement.
- Applicable taxes may be added to service charges.
- Additional services or changes requested by the client may result in additional charges.
- Advertising budgets, third-party subscriptions, domain registrations, and external licensing costs may be charged separately when they are not included in the agreed service price.
BOSS reserves the right to suspend services for overdue accounts after providing appropriate notice, subject to applicable agreements and law.
Refunds, deposits, cancellation charges, and other financial adjustments are governed by the applicable agreement and any expressly offered service guarantees.
Nothing in these Terms removes a refund entitlement established under an applicable BOSS guarantee or mandatory law.
5. Client Responsibilities
Clients are responsible for supplying accurate information and materials necessary to complete their projects.
This may include business details, logos, photographs, written content, product information, marketing approvals, and access to relevant accounts.
Clients agree that:
- Information supplied to BOSS will be accurate and lawful.
- They have permission to use materials they provide.
- They will respond to reasonable requests for project approvals and required information.
- Their business practices, advertisements, and customer communications will comply with applicable laws.
- They will not knowingly request unlawful, misleading, defamatory, or infringing content.
- They remain responsible for reviewing and approving business-specific claims and regulated advertising content.
Delays resulting from incomplete materials, unavailable approvals, or other client-side issues may affect project completion dates.
6. Custom Website Design, Intellectual Property, and Ownership
6.1 Ownership of Custom Website Designs
All custom website designs and original website development work created by BOSS Marketing Services remain the intellectual property and exclusive property of BOSS Marketing Services, unless ownership is expressly transferred through a separate written agreement signed by an authorized representative of BOSS.
This ownership includes original work developed by BOSS for a client project, to the extent BOSS owns or controls the relevant rights, including:
- Custom website layouts and visual design elements.
- Original page structures and design arrangements.
- Custom graphics, styling, and design components created by BOSS.
- Original programming, scripts, and custom code developed by BOSS.
- Custom themes, templates, and other proprietary development materials.
- Original website source files and working design files.
- Proprietary design methods, systems, and reusable development components.
Payment for website design, development, hosting, or maintenance does not, by itself, transfer copyright or intellectual property ownership to the client.
6.2 Client’s Right to Use the Website
When a client has met the applicable payment and contractual obligations, BOSS grants the client a limited, non-exclusive, non-transferable right to use the completed website for the client’s agreed business purposes during the applicable service arrangement.
This permission allows the client to benefit from the website as an operational business tool without automatically acquiring ownership of the underlying BOSS-created design and development work.
Unless otherwise agreed in writing, the client does not receive an unrestricted right to copy, resell, distribute, independently transfer, or commercially reuse proprietary BOSS website materials.
These restrictions do not override any rights granted under applicable open-source or third-party licences.
6.3 Release or Purchase of Website Ownership
Clients may request the release and transfer of a custom website design created by BOSS Marketing Services. Such a release is available at cost, subject to a written transfer arrangement and any applicable third-party licensing restrictions.
A client requesting ownership or a transferable copy of their custom website must submit the request directly to BOSS.
BOSS will provide a written quotation outlining the applicable release and transfer costs before proceeding.
Depending on the project, these costs may include:
- Any unpaid portion of the original design or development work.
- The direct cost of preparing, organizing, and exporting website files.
- Reasonable technical labour required for the release or migration.
- Required third-party licensing or transfer expenses.
- Other direct costs disclosed and approved before the release.
Previously paid development charges will not automatically be charged a second time. The release quotation will identify the work, rights, and materials included.
A transfer of ownership becomes effective only after the agreed release costs and outstanding project balances have been paid and BOSS has executed a separate written assignment or release agreement.
The written release will specify which intellectual property rights, website files, and other deliverables are transferred to the client.
Until that agreement is completed, BOSS retains ownership of its original website design and development work.
6.4 Exclusions from Ownership Transfers
A website ownership release does not automatically include:
- Website hosting infrastructure or BOSS-owned servers.
- Proprietary systems or tools BOSS uses across multiple projects.
- Third-party plugins, software, subscriptions, or licensed assets.
- Open-source software or other materials governed by independent licences.
- Commercial fonts, photographs, or other assets that cannot legally be reassigned.
- Accounts, licences, or services registered to BOSS and not transferable under their applicable conditions.
The client may need to purchase replacement licences, hosting, or technical services to operate the website independently.
Where a portion of a website cannot be transferred because of third-party rights or technical restrictions, BOSS will identify the limitation as part of the proposed release.
6.5 Ownership of Client-Supplied Materials
Clients retain their existing ownership rights in materials they provide, including:
- Business names, logos, and trademarks.
- Original photographs and written content.
- Product and service information.
- Customer records and personal information.
- Domain names registered in the client’s name.
- Other independently owned business assets.
Providing these materials to BOSS grants us permission to use them only as reasonably necessary to perform authorized services, subject to the applicable agreement.
Ownership of BOSS’s custom website design does not transfer ownership of the client’s underlying business identity, customer information, or independently owned content to BOSS.
6.6 No Automatic Ownership Transfer
The completion or launch of a website, full payment of a standard service invoice, or continuation of a hosting arrangement does not automatically constitute a sale or assignment of BOSS’s intellectual property.
Any transfer must be expressly identified and documented in writing.
6.7 Rights Following Termination
When an applicable website service agreement ends, the client’s rights to continue using BOSS-owned website materials will be determined by the licence, any signed release, and the applicable service agreement.
Unless continued use is otherwise authorized, the client must obtain a release or another suitable licence before copying or relocating proprietary BOSS materials to an independent hosting environment.
BOSS will reasonably cooperate with authorized transfers of client-owned content and data, subject to lawful retention obligations and any previously agreed service charges.
Any separate ownership rights previously granted to a client remain subject to their original written terms.
7. Website Hosting and Maintenance
When BOSS provides website hosting, the service may include server resources, software management, website availability monitoring, maintenance, backups, or technical support, depending on the agreed package.
BOSS may perform reasonable maintenance, updates, or security work when necessary to maintain website operations.
Service interruptions may result from maintenance, software conflicts, internet outages, cyber incidents, third-party infrastructure failures, or circumstances outside our reasonable control.
BOSS honours applicable hosting availability guarantees expressly offered as part of a client’s service arrangement.
Clients remain responsible for maintaining copies of their independently owned business records and other critical information, in addition to any backups included in their hosting plan.
BOSS is not required to provide continued hosting after an agreement ends, except as required by the relevant agreement or applicable law.
8. Search Engine Optimization and Search Visibility
BOSS provides SEO strategies and related services designed to improve a client’s online visibility and search performance.
Search engine rankings depend on numerous factors, including competition, website content, platform algorithms, technical conditions, and changes implemented by search providers.
BOSS advertises an express first-page organic search ranking refund guarantee. Where that guarantee applies to a client’s purchased service, BOSS will honour the commitment as offered.
The specific agreed service scope, targeted search terms, and any relevant measurement arrangements should be clearly identified before work begins.
Except for an applicable express guarantee, BOSS does not promise a particular volume of website traffic, customer inquiries, sales, or business revenue.
Changes made by search engines or other third-party platforms remain outside BOSS’s direct control.
9. Google AI Search Visibility Services
BOSS may provide services intended to improve how a business’s content is understood, discovered, or presented through AI-assisted search experiences.
Search engines and AI platforms independently determine which businesses, websites, and information appear in their responses.
Unless an express written guarantee states otherwise, BOSS does not guarantee placement, frequency of appearance, specific wording, or prominence in AI-generated search results.
AI visibility strategies may require ongoing adjustments as search technology evolves.
10. Advertising and Social Media Services
For advertising and social media projects, BOSS may assist with campaign planning, content creation, account management, audience selection, and performance monitoring.
Clients acknowledge that:
- Advertising platforms establish their own rules, costs, and approval requirements.
- Advertising budgets may be separate from BOSS’s service fees.
- Platform policies, campaign delivery, and account restrictions may change.
- Advertising performance can vary based on competition, audience behaviour, seasonality, and other factors.
- Clients are responsible for the accuracy and legality of their business claims, products, and offers.
Where a social media or advertising account belongs to the client, that underlying ownership is not transferred to BOSS merely because we manage the account.
Accounts, proprietary systems, or licences held by BOSS remain subject to their applicable ownership and platform agreements.
11. Website Content and Approval
Clients are responsible for reviewing the accuracy of business information appearing on their websites and in marketing materials.
BOSS may request approval before publishing major website changes, advertisements, or promotional material.
Once content is approved for publication, the client remains responsible for notifying BOSS of important changes involving contact information, pricing, products, services, or legal requirements.
BOSS reserves the right to decline requests involving unlawful material or content that may violate third-party rights.
12. Third-Party Services
Some projects require platforms or tools operated by third parties, including website software, hosting infrastructure, search engines, advertising networks, payment providers, or social media platforms.
These providers operate under their own terms, policies, and technical requirements.
BOSS is not responsible for independent decisions, policy changes, service restrictions, or outages caused by third-party providers, except to the extent BOSS is legally responsible or has expressly agreed otherwise.
A client’s use of third-party services may require acceptance of the provider’s separate terms.
13. Confidentiality and Data Protection
BOSS takes reasonable measures to protect confidential business information obtained while providing services.
We will not knowingly disclose confidential client information to unrelated parties except when authorized, reasonably necessary to deliver services through appropriate providers, or required by law.
Clients must likewise respect BOSS’s confidential business information, including proprietary systems, non-public technical materials, and confidential project documents.
Personal information will be handled in accordance with our Privacy Policy and applicable privacy laws.
14. Cancellation and Termination
Cancellation terms, notice periods, and any applicable fees are determined by the client’s accepted service agreement.
Either party may have the right to terminate services in circumstances established by the agreement or applicable law.
BOSS may suspend or terminate services when permitted by law and the applicable agreement, including for material non-payment, unlawful conduct, serious security concerns, or material breaches that remain unresolved following appropriate notice.
Upon termination:
- Outstanding fees remain payable according to the applicable agreement.
- BOSS retains ownership of intellectual property not expressly assigned to the client.
- Client-owned information and materials remain the client’s property.
- Third-party subscriptions or advertising services may require separate cancellation.
- Website hosting and technical services may cease according to the agreed termination conditions.
- Any requested release of BOSS-owned website design materials is handled under Section 6.
Termination does not eliminate rights or obligations that are intended to survive the end of the service relationship.
15. Acceptable Use of Our Website
Visitors and clients must not misuse the BOSS Marketing Services website or related systems.
Prohibited activities include unauthorized attempts to access accounts or systems, introducing malicious software, interfering with website operations, unlawfully collecting information, or using our services to facilitate illegal activities.
Website visitors may view and use publicly available materials for ordinary informational purposes.
They may not reproduce or commercially exploit BOSS-owned website content or branding without permission, except where permitted by law.
16. Service Standards and Guarantees
BOSS works to provide reliable, professional services and communicates in good faith about project progress and expectations.
However, not every marketing outcome is within the control of a service provider.
Except for our expressly advertised or contractually agreed guarantees, we do not guarantee a particular level of sales, profitability, lead generation, or customer conversion.
Nothing in these Terms cancels or reduces an applicable express guarantee, including an advertised SEO refund commitment or hosting uptime commitment.
BOSS will also honour any additional service standards or remedies specifically agreed to in writing.
17. Limitation of Liability
To the maximum extent permitted by applicable law, BOSS is not responsible for indirect or consequential business losses arising from ordinary service interruptions, third-party platform changes, or results outside our reasonable control.
For claims relating to the provision of an individual service, our aggregate contractual liability will generally be limited to fees paid for the affected service during the twelve months preceding the event giving rise to the claim, except where an applicable agreement provides otherwise.
This limitation does not remove expressly promised refund rights or apply to liability that cannot legally be excluded or limited, including liability for intentional wrongdoing or other conduct for which exclusion is prohibited by law.
Nothing in these Terms limits mandatory statutory rights.
18. Intellectual Property Infringement
Clients must not submit content or materials that unlawfully infringe another party’s intellectual property rights.
If BOSS receives a credible notice concerning allegedly infringing content, we may investigate, request documentation, or take proportionate protective measures as appropriate.
Likewise, clients and third parties must respect BOSS’s ownership of its original creative materials, website designs, and proprietary development work.
Unauthorized reproduction or distribution of protected BOSS materials may result in appropriate legal action.
19. Portfolio and Promotional Use
Unless otherwise agreed with the client, BOSS may identify completed, publicly launched projects in its professional portfolio or marketing materials.
This may include displaying publicly available website screenshots, the client’s business name, or examples of completed design work.
We will not disclose confidential client information, non-public customer records, or other protected personal information for promotional purposes without appropriate authorization.
Clients may contact us to discuss reasonable confidentiality or portfolio restrictions.
20. Events Outside Our Control
BOSS is not responsible for delays or failures resulting from circumstances beyond its reasonable control, including natural disasters, severe weather, widespread internet disruptions, utility failures, labour interruptions, government restrictions, or major third-party infrastructure incidents.
We will make reasonable efforts to communicate material disruptions and resume affected services when circumstances permit.
This provision does not override mandatory legal obligations.
21. Changes to These Terms
We may revise these Terms to reflect changes in our services, business practices, technology, or legal requirements.
The revised version will be published on our website with an updated effective date.
Material changes to existing client service obligations will be handled in accordance with the relevant agreement and applicable law.
Publishing a revised policy does not, by itself, alter intellectual property ownership established by an earlier binding agreement.
22. Governing Law and Disputes
These Terms are governed by the applicable laws of the Province of New Brunswick and the federal laws of Canada applicable in that province, subject to any mandatory laws that apply in a particular circumstance.
If a disagreement arises, the parties agree to make a reasonable good-faith effort to resolve the matter through direct communication before pursuing formal proceedings, where appropriate.
Any court proceedings will be brought before a court with proper jurisdiction, subject to applicable legal requirements and any enforceable contractual dispute-resolution provisions.
23. Severability and Entire Agreement
If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.
These Terms, together with an accepted proposal, service agreement, or other incorporated documents, establish the applicable service conditions.
Where a signed, project-specific agreement expressly provides different conditions, that agreement takes precedence for the relevant matter.
